“That the Company be wound up voluntarily and that Mark Robert Fry of BTG Begbies Traynor (London) LLP, Level 33, One Canada Square, London, E14 5AB and Andrew Richard Bailey of Turpin Barker Armstrong, Allen House, 1 Westmead Road, Sutton, Surrey, SM1 4LA be and hereby are appointed as Joint Liquidators for the purposes of such winding up and that any power conferred on them by law or by this resolution, may be exercised and any act required or authorised under any enactment to be done by them, may be done by them jointly or by each of them alone."

NoteAndrew Bailey of Turpin Barker Armstrong was appointed as Joint Liquidator of the Company by the member prior to the meeting of creditors. However, Mr Bailey subsequently withdrew his consent to act, and Benjamin Wiles and Robert Armstrong were nominated and appointed to act as Joint Liquidators alongside Mark Fry by the creditors at a duly convened physical meeting held on 13 October 2026.

This notice is given pursuant to Rule 15.13 of the Insolvency (England and Wales) Rules 2016 .

Please note that further to the threshold for a physical meeting of creditors to be called in relation to the creditors' decision on the nomination of liquidators being met, in accordance with Section 246ZF of the Insolvency Act 1986, a physical meeting of the Company's creditors will be held on 13 October 2026 at 1.00 pm at BTG Begbies Traynor (London) LLP, Level 33, One Canada Square, London, E14 5AB. Iain Hunter, a Company director, is the convener of the meeting (“the Convener”).

The purpose of the meeting is for creditors to consider a decision on the nomination of liquidators, and if the creditors think fit, to appoint a liquidation committee.

In addition, in the event that a committee is not formed, creditors will also be asked to consider a decision in relation to the payment of the costs of assistance with preparation of the Company’s statement of affairs and seeking the creditors’ decision on the nomination of liquidators, as an expense of the liquidation.

In order to be entitled to vote at the meeting (either in person or by proxy), creditors must have submitted a proof in respect of their claim (unless a proof has already been submitted) to the Convener via the contact details below, by no later than 4pm on 12 October 2026.

Any creditor entitled to attend and vote at the meeting is entitled to do so either in person or by proxy. If you cannot attend and wish to be represented at the meeting, a completed proxy form must be delivered to the Convener via e-mail at Vida.Urbutiene@btguk.com or by post to the BTG Begbies Traynor correspondence address at Level 33, One Canada Square, London, E14 5AB prior to the meeting.

A creditor may request that they be permitted to attend the meeting remotely. Any such requests should be made to the Convener via the contact details below and must be received in advance of the meeting. Please note that whether a creditor is permitted to attend the meeting remotely is at the Convener’s discretion.
