NOTICE IS GIVEN pursuant to Rule 15.13 of the Insolvency (England & Wales) Rules 2016 that a physical meeting of the creditors of the above named company will be held on 22 January 2026 at 10.15 am. The requirement to hold this meeting is due to the required creditor threshold being met in accordance with Section 246ZE of the Insolvency Act 1986. As a result of the requirement to hold this physical meeting the original decision procedure is terminated. The chair of the meeting has discretion to permit remote attendance at the meeting if such a request to do so is received in advance of the meeting.
Any creditor entitled to attend and vote at this physical meeting is entitled to do so either in person or by proxy. Creditors wishing to vote at the meeting must (unless they are individual creditors attending in person) lodge their proxy with the convener before they may be used at the meeting.
Unless there are exceptional circumstances, a creditor will not be entitled to vote unless his written statement of claim, ('proof'), which clearly sets out the name and address of the creditor and the amount claimed, has been lodged and admitted for voting purposes. Proofs must be delivered by 4pm the business day before the meeting.
Unless they surrender their security, secured creditors must give particulars of their security, the date when it was given and the estimated value at which it is assessed if they wish to vote at the meeting.
The purpose of the meeting is to consider the appointment of liquidators and to determine whether a liquidation committee should be established. Pursuant to Rule 15.6 of the Insolvency (England & Wales) Rules 2016, the meeting may be suspended or adjourned by the chair of the meeting (and must be adjourned if it is so resolved at the meeting).
A meeting of shareholders has been called and will be held prior to the physical meeting of creditors to consider passing a resolution for voluntary winding up of the Company.
